Terms of use

Version dated 16 October 2026.

Agreement to the terms

These terms govern business use of Kvadrati Payments (Kvadrati Pay). By ordering, accessing or using the service, the Customer confirms that it has read and accepted these terms and that its representative is authorized to do so. Specifically agreed written obligations and mandatory law prevail over conflicting provisions of these terms.

Service provider

The operator of pay.kvadrati.com and Kvadrati Payments (Kvadrati Pay) is Kvadrati, Aleksandar Hajduković s.p., Celovška cesta 95a, 1000 Ljubljana, Slovenia, VAT ID SI20040130, email hello@kvadrati.com.

Business use and Customer responsibilities

The service is intended for businesses and other organizations. The Customer remains the seller of its products or services and is responsible for lawful operations, correct amounts, currencies and references, taxes, invoices, customer disclosures, payment authorizations, delivery, complaints, refunds and retention of its business records. Kvadrati Pay does not verify the correctness of the Customer's business or tax practices.

Technical intermediary and payment providers

Kvadrati Pay technically relays requests to Stripe and PayPal and returns bank transfer instructions. It is not a bank, custodian of funds or seller of the Customer's goods. Funds are settled through the provider to the Customer's account. Customers establish and maintain suitable provider accounts and accept their terms and fees. We do not guarantee payment approval, execution or finality. Bank instructions are not proof of receipt of funds; pending or unknown status is not confirmation of successful payment. Customers must verify actual status and handle request retries safely.

Card payment and PayPal payment processing, and the actual transfer and settlement of funds, are performed by Stripe or PayPal and their payment partners. Kvadrati Pay does not itself perform these financial services or hold customer or merchant funds. We provide simplified technical integration, relay payment processing requests and monitor and return provider results. Bank transfers are processed by banks; Kvadrati Pay provides payment instructions for them.

Recurring payments

The Customer uses the Kvadrati Pay API to request creation of a subscription plan and subscription with the selected provider, Stripe or PayPal. Kvadrati Pay technically relays the relevant API requests on its behalf and returns a link for the buyer to confirm the subscription or authorize recurring billing with the provider. Subsequent periodic charges are performed by the provider under the approved plan and its rules; the Customer does not need to submit a new payment request to Kvadrati Pay for every billing period. Kvadrati Pay monitors status through provider notifications and checks and may relay cancellation on an authorized request. The Customer is responsible for lawful buyer consent, amounts, frequency, disclosures and timely cancellation. An outage or discontinuation of Kvadrati Pay does not itself stop a provider subscription; if cancellation through our service is unavailable, the Customer must arrange it directly with Stripe or PayPal and verify its actual effect.

No card data storage

Kvadrati Pay does not collect or store credit or debit card details, including card numbers, expiry dates or CVC/CVV security codes. Card data collection, processing and any storage are handled exclusively by PayPal or Stripe, depending on the selected payment method, within their protected payment environment and under their own terms and privacy policies. We retain only payment operational data and provider references, not card details. Do not send card details through our API, forms or support channels.

Access and secrets

The Customer must protect API keys, integration credentials, passwords and sign-in details, restrict access to authorized persons and notify us immediately of suspected misuse. It is responsible for use of its valid credentials to the extent permitted by law. Project API keys must not be included in publicly accessible browser or mobile application code. Test and production credentials and data must remain strictly separated.

Production provider integration secrets stored in our database are encrypted with a separately managed server key. Stored Stripe and PayPal secrets are not redisplayed in settings forms: the API secret or Client Secret input is a password field and remains empty when reopened, showing only whether a secret has been saved. This does not replace the Customer's duty to securely store its own copies, restrict their use and promptly rotate or revoke credentials if disclosure is suspected. Test credentials are separate from production credentials and are kept in development configuration in the development environment; project API keys may be displayed once on issuance for secure retrieval.

Required testing before production

Before initial production use and after each material change, the Customer must test the entire flow in a test environment: amounts, currencies, user returns, results, notifications, cancellations, duplicate requests and error handling. It must monitor production and reconcile its records with the provider. Documentation, examples and the test environment do not replace its judgment and verification; a successful test does not guarantee a successful production payment.

Acceptable use

Unlawful use, false data, unauthorized access to other organizations' data, disclosure of secrets, malicious code, attacks, security bypasses, overloading and unauthorized reverse engineering are prohibited, except where mandatory law permits it. Sending card data to Kvadrati Pay or conduct that endangers the service, users or payment providers is prohibited.

Pricing, payments and support

The monthly service price, taxes, billing period, support scope and cancellation terms are governed by the accepted offer or agreement. Kvadrati charges a fixed monthly price without an application fee per transaction or usage-based billing. Stripe, PayPal and bank fees are separate and set by those providers. Non-payment may result in access restrictions under the agreed procedure, subject to legal and expressly agreed obligations.

Availability and third-party services

The service is provided on a reasonable best-efforts basis without a guarantee of uninterrupted, timely or error-free operation, unless expressly agreed otherwise in writing. It depends on networks, hosting, banks, PayPal, Stripe and other systems outside our direct control. Their restrictions, outages, rejections, fees and changes may affect the service.

Restriction, suspension or termination

We may temporarily restrict, modify or permanently discontinue access or the service for maintenance, security, abuse, non-payment, legal requirements, provider changes or business reasons, subject to agreed notice requirements and mandatory law. To the fullest extent permitted by law, such action does not itself create a right to damages or lost profits. Mandatory legal rights and expressly agreed written obligations remain unaffected. Stopping use of Kvadrati Pay does not itself cancel obligations or payment arrangements with PayPal, Stripe or a bank; the Customer must manage those with the relevant provider.

Use at your own risk and limitation of liability

Kvadrati Pay is a technical intermediary and does not replace legal, tax, accounting, financial or security professionals. To the fullest extent permitted by applicable law, Kvadrati, Aleksandar Hajduković s.p. is not liable for any damage arising from use of, or inability to use, the product, including direct, indirect and consequential loss, loss of data, revenue or profit, business interruption, fines, tax consequences, incorrect or duplicate payments, delays, rejections, chargebacks, provider unavailability and incorrect Customer data. Where exclusion is not permissible but a limitation is lawful, aggregate liability is limited to the subscription fees paid for the three months preceding the event, only insofar as that limit is lawful and not manifestly disproportionate to the damage. Exclusions and limits do not apply to intentional misconduct, gross negligence or any liability that mandatory law prohibits excluding or limiting; they do not affect mandatory individual data protection rights.

Kvadrati, Aleksandar Hajduković s.p. reserves the right, at its discretion, to suspend or permanently discontinue the entire service for business, organizational, technical, security or other reasons, including with immediate effect where permitted by applicable law and expressly agreed contractual obligations. To the fullest extent permitted by law, we are not liable for damage, lost profits, business interruption or replacement solution costs resulting from that decision or discontinuation. This provision does not exclude liability that cannot lawfully be excluded or limited, nor does it remove mandatory notice periods, any payment refund obligations or other statutory and expressly agreed written obligations.

Intellectual property

Software, design, trademarks, documentation and materials remain the property of their respective owners. The Customer receives a limited, non-transferable right to use the service during the valid contractual relationship. Rights in its data remain with the Customer or the respective rights holders.

Data and privacy

Data processing and cookies are explained in the Legal notice. The Customer must ensure an appropriate legal basis for the data it submits and inform its customers. Where we act as processor, agreed instructions and the data processing agreement apply. Acceptance of these terms is not consent to optional analytics.

Changes

We may change the service, API, features, infrastructure, documentation, prices and terms in accordance with the contract and applicable law. Material changes are communicated in a reasonable manner with their effective date. Continued use after that date constitutes acceptance only where permitted by the contract and law. Changes do not retroactively affect accrued rights.

Governing law and contact

The laws of the Republic of Slovenia apply; disputes fall within the jurisdiction of the competent court in Ljubljana unless mandatory law provides otherwise. These terms are available in Slovenian and English; in case of a discrepancy, the Slovenian text prevails to the extent permitted by law. Send questions, complaints and requests concerning the contractual relationship to hello@kvadrati.com.
